Rights

This agreement on the use of Nautimated services gives the recipient the right to use Nautimated services under present license terms.

Licensee Identification

The licensee has the right to use our services for a number of licensees belonging to the CVR number to which the license is issued.

Service performance

Nautimated services are delivered partly as a service on the platform, partly as a data service via API. Licensee has the right to subscribe to and to use both parts. Ad-ons will be specified in contract agreements, including integration assistance.

Licensee use of the service

It is up to the licensee to allocate access to the service, and up to the licensee to integrate the data service delivered via API so that data can be pulled into its own systems.

The purpose of the service

The purpose of the service provided is to enable the licensee to act proactively on  opportunities related to vessel operation and vessel maintenance.

Rights and duties

Licensor is obliged to keep the service running and maintained on the service, with data backup. The downtime accepted will only be 0,3 %. The licensor is responsible for the functionality of the API, but cannot be held responsible for maintaining the functional  integration. In the case of an unexpected event in the integration, the Licensor is obliged to assist with control of the API's quality and functionality on hourly payment within 24 hours.

Payment and duration

Payment is due to the conditions agreed upon by contract for a continuous yearly license subscription. Payment takes place on the basis of the forwarded invoice with the payment terms applicable on the invoice.

Notice of termination

The Licensee has the option of termination until the date of renewal of the annual subscription, unless otherwise specifically agreed.

Confidentiality

Neither the Licensee nor the Licensor may grant access to the sharing of data or lend access with an issued login. The licensor is also subject to the accompanying data processing agreement.

Failure to comply

Non-compliance by one of the partners regarding the above, the other part is entitled to terminate the service agreement with immediate notice.

Failure to comply by the licensee: Failure to comply to the above, does not entitle the licencee to any refunds of payments that have been fulfilled even if agreement is terminated.

Failure to comply by the licensor: Failure to comply to the above, entitles the licensee to terminate the agreement and receive a refund for the remaining period paid in advance.

Nautimated cannot be held responsible for any losses, either actual or estimated, associated with data, crashes or other events, which the licensee believes can be attributed to Nautimated services, their use or integrations.
